TERMS OF SERVICE

1. Acceptance of TermsBy accessing or using LookingForSubs.com, you agree to be bound by these Terms of Service. Your use constitutes your legally binding electronic signature under the U.S. ESIGN Act. If you do not agree to these Terms, you must immediately cease use of the Site. This service is void and not available where prohibited by law.

2. EligibilityYou must be at least 18 years old and legally capable of entering into a binding contract to use this Site. By using the Site, you represent that you meet these requirements and that you are using the Site for legitimate business purposes related to construction contracting or subcontracting.

3. Nature of the SiteLookingForSubs.com is an independent online directory designed to help general contractors and subcontractors find and connect with one another for construction-related work. We are not a contractor, do not perform construction work, and do not verify, vet, screen, license-check, insure, or endorse any contractor, subcontractor, or business listed on this Site. Users are solely responsible for independently verifying the licensing, insurance, bonding, qualifications, and suitability of any party they contact through the Site. Businesses listed are independent parties, not employees or agents of this Site. Inclusion in this directory does not constitute a recommendation, endorsement, or guarantee of any listed party's services, licensure, or insurance status.

4. No Employment or Agency RelationshipNothing on this Site creates an employment, agency, partnership, or joint venture relationship between LookingForSubs.com and any user, or between any two users who connect through the Site. Any work, subcontracting, or employment arrangement entered into between users is strictly a matter between those parties.

5. Services ProvidedWe provide a searchable directory, business listings, and related content to help contractors and subcontractors find each other. Listings may include contact information, trade specialties, service areas, and business descriptions. LookingForSubs.com reserves the right to add, remove, or modify any listing at any time for any reason, without prior notice.

Fees and charges for paid listing insertion are non-refundable. Free tier listings, if offered, carry no monetary refund obligation. We retain full editorial control, and no user acquires any ownership interest in the Site or its content.

6. Acceptable UseBy using this Site, you agree not to:

  • Create fake, duplicate, or fraudulent listings, or list a business you do not own or have authority to represent

  • Misrepresent your trade, licensure, insurance, bonding status, certifications, or years of experience

  • Post spam, unsolicited advertising unrelated to construction/subcontracting, or repeatedly post the same listing across multiple categories to manipulate search results

  • Harass, threaten, defame, or send unsolicited communications to any user who has requested no further contact

  • Use the Site to collect user contact information for purposes unrelated to legitimate contracting or subcontracting inquiries

  • Upload malicious code, attempt to breach Site security, or interfere with the normal operation of the Site

  • Scrape, crawl, or bulk-extract Site data except as permitted under Section 12

  • Impersonate any person or business, or create a listing using another party's name or credentials without authorization

We reserve the right to remove any listing or content, and suspend or terminate any account, that violates this Acceptable Use Policy, without notice or refund.

7. User-Generated ContentAny content you submit to the Site, including business descriptions, reviews, ratings, photos, or comments, must be accurate, lawful, and free of infringing material. You retain ownership of content you submit but grant LookingForSubs.com the license described in Section 16. We do not pre-screen user content but reserve the right to remove any content at our discretion, including reviews we believe are fraudulent, defamatory, or posted in bad faith.

8. No Endorsement; Use at Your Own RiskLookingForSubs.com does not verify, check, or guarantee any listed business's licensure, insurance coverage, bonding status, workmanship, safety record, or general qualifications. All interactions, hiring decisions, subcontracting arrangements, and work performed as a result of connections made through this Site are entered into at the user's own risk. LookingForSubs.com is not a party to any agreement, job, or dispute between users of the Site and holds no responsibility for the outcome of any work performed, contracted, or arranged as a result of use of this Site.

9. Third-Party LinksThe Site may contain links to third-party websites, tools, or resources not owned or controlled by LookingForSubs.com. We are not responsible for the content, accuracy, or practices of any third-party site and do not endorse them. Accessing third-party links is done at your own risk.

10. Affiliate, Advertising, and Referral DisclosureLookingForSubs.com may participate in affiliate programs, referral networks, or display sponsored advertising. We may receive compensation, commissions, or fees if you click on links, fill out forms, or engage a listed business through the Site. The presence of such links does not constitute an endorsement or guarantee of any listed business or service.

Affiliated Companies, Partners, and SponsorsWe may share your submitted information, including name, contact details, and service information, with affiliated companies under common ownership, business partners, and site sponsors for their own marketing purposes, including direct mail, email, and phone outreach regarding relevant products or services. By using this Site, you consent to this sharing. You may opt out at any time via the Site contact form or the "Do Not Sell or Share My Personal Information" link in the footer; opt-outs are processed within 15 business days and do not affect your listing or account communications.

11. Listing Standards and Signup AgreementBusinesses may be listed only if they meet standards determined at our sole discretion, which may include timely response to inquiries. We may remove listings at our discretion for noncompliance, complaints, or any other reason without notice or refund.

By submitting a listing application or checking the acknowledgment box at the point of submission, each business agrees to all of the following:

  • They are solely responsible for maintaining proper licensing, bonding, insurance, and professional qualifications in every jurisdiction where they operate.

  • They authorize LookingForSubs.com to display their submitted information, including name, contact details, trade specialties, and business description.

  • They acknowledge that listing fees, if any, are non-refundable under any circumstances.

  • They acknowledge that LookingForSubs.com makes no guarantee regarding the quality, volume, or suitability of inquiries or leads generated through the Site.

  • They agree not to hold LookingForSubs.com liable for disputes, complaints, or claims arising from their independent business dealings with other users.

  • They represent that all submitted information, including licensing status, is accurate and current. Submission of false or misleading information constitutes grounds for immediate removal and may result in liquidated damages as described in Section 13.

  • They agree to be bound by these Terms of Service in full.

  • By providing a phone number during signup or listing submission, businesses consent to be contacted by LookingForSubs.com, and by its affiliates and sponsors, regarding their listing, account status, and marketing offers.

12. User ResponsibilityUsers of the Site must independently evaluate any contractor or subcontractor before hiring, subcontracting, or entering into any agreement. This includes confirming licensing, bonding, insurance, experience, and fee agreements. LookingForSubs.com is not responsible for any disputes, damages, losses, injuries, or other issues arising from decisions made or work performed as a result of connections made through the Site.

13. Void Where ProhibitedThis Site and its services are intended for use only in jurisdictions where such services are lawful. Use of this Site is void where prohibited by applicable federal, state, or local law. It is your responsibility to determine whether your use of this Site is lawful in your jurisdiction.

14. Liquidated DamagesThe Site and its compiled directory information reflect substantial investment of time and resources. Unauthorized automated scraping, crawling, bulk extraction, or copying of Site data constitutes harm that is difficult to quantify. Users agree that, in the event of such unauthorized activity, liquidated damages shall apply as follows:

  • Five hundred dollars ($500) per automated session

  • Fifty dollars ($50) per individual listing record extracted

  • Twenty-five dollars ($25) per pricing calculation or quote accessed

  • A minimum aggregate of ten thousand dollars ($10,000) per violation

User acknowledges these amounts represent a reasonable estimate of harm and not a penalty. These liquidated damages are cumulative and in addition to other legal remedies, including injunctive relief and recovery of attorneys' fees and enforcement costs.

15. Communications and TCPA ConsentBy using the Site, you consent to receive communications regarding your account, listings, or essential updates. Marketing communications require separate express consent, which you provide by using the Site and submitting your information. You may opt out of marketing communications at any time. Transactional communications, such as listing updates and account notices, cannot be opted out of.

By providing a phone number on this Site, you expressly consent to be contacted at that number by LookingForSubs.com, and by its affiliates and sponsors, regarding your listing, account, or relevant marketing offers, including by phone or text message, in accordance with applicable law including the Telephone Consumer Protection Act (TCPA).

16. Data Collection and SecurityLookingForSubs.com collects technical information such as IP addresses, browser type, device information, and page interactions to maintain and improve the Site. While reasonable security measures are employed, we make no guarantees regarding data security. Users acknowledge that no system of electronic transmission or storage is 100% secure. Our liability for breaches is limited as outlined in Section 18.

We make reasonable efforts toward accessibility but make no guarantee of compliance with WCAG or any other accessibility standard.

18. Limitation of LiabilityTo the fullest extent permitted by law, LookingForSubs.com and its affiliates, owners, officers, employees, and agents shall not be liable for any direct, indirect, incidental, consequential, special, punitive, or exemplary damages of any kind, including without limitation damages for lost profits, lost data, property damage, personal injury, or business interruption, arising from your use of the Site or any work, agreement, or dispute arising between users. Our maximum aggregate liability is limited to the amount paid by the user for listing insertion fees, or one hundred dollars ($100) if no fees were paid, whichever is less.

IndemnificationYou agree to indemnify, defend, and hold harmless LookingForSubs.com and its affiliates, owners, officers, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses, including reasonable attorneys' fees, arising from your use of the Site, violation of these Terms, misrepresentation of qualifications, licensure, or insurance, any work performed or arranged through the Site, or any content submitted by you. We may assume exclusive control of the defense of any claim subject to indemnification.

20. Anti-SLAPP and Communications ProtectionsTo the maximum extent permitted by law, any communications, posts, or content regarding LookingForSubs.com made in connection with disputes are subject to applicable anti-SLAPP protections. Users acknowledge that frivolous or retaliatory claims against the Site or its operators are prohibited.

21. Intellectual PropertyLookingForSubs.com retains all rights to Site content, branding, and proprietary database compilations. Users have no ownership rights in the Site. Content you submit grants us a worldwide, non-exclusive, royalty-free license to use in connection with operating the Site.

23. Dispute ResolutionBefore initiating legal action, you must provide written notice via the Site contact form and allow 30 days to attempt informal resolution. Disputes not resolved informally may be brought in small claims court if jurisdictionally appropriate. Otherwise, disputes will be resolved through binding individual arbitration under the rules of the American Arbitration Association in Ohio. Class actions are waived, but injunctive relief for intellectual property or confidential information may be sought in court.

24. Force MajeureLookingForSubs.com is not liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, internet or utility failures, or governmental action.

25. Modifications to TermsWe reserve the right to modify these Terms at any time. Material changes will be posted with at least 30 days' notice. Continued use of the Site after changes constitutes acceptance.

26. TerminationWe may terminate or suspend access to the Site or any listing at any time, with or without notice. Upon termination, all licenses to use our content cease immediately. Certain provisions, including indemnification, limitations of liability, intellectual property, and disclaimers, survive termination.

27. AssignmentLookingForSubs.com may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, or sale of assets. Users may not assign or transfer their rights or obligations under these Terms without our prior written consent.

28. Governing LawThese Terms are governed by Ohio law without regard to conflict of law principles. Jurisdiction and venue for any disputes shall be exclusively in Ohio state or federal courts, except as otherwise provided for arbitration.

29. SeverabilityIf any provision is deemed invalid or unenforceable, the remaining provisions remain in full force and effect.

30. Entire AgreementThese Terms constitute the full agreement between the user and LookingForSubs.com regarding the Site and supersede all prior communications or agreements.
